Epiroc gets green light to acquire Eventspec business, subject to public interest conditions

The Competition Tribunal (“Tribunal”) has approved a merger in which Evrypart (Pty) Ltd (“Epiroc SPV”) and Epiroc Holdings South Africa (Pty) Ltd (“Epiroc Holdings”) will acquire the business of Eventspec (Pty) Ltd as a going concern, together with its associated intellectual property. Once implemented, Epiroc SPV will exercise sole control of the business, while Epiroc Holdings will solely control the intellectual property.

The Tribunal has approved the transaction subject to public interest conditions aimed at promoting a greater spread of ownership, skills development, enterprise and supplier development, as well as socio-economic development, education and training.

Epiroc SPV and Epiroc Holdings are ultimately controlled by Epiroc AB Sweden (ACE) (“Epiroc”), a public company listed on the Nasdaq Stockholm Stock Exchange. The acquiring group, comprising Epiroc and its subsidiaries, is an Original Equipment Manufacturer (“OEM”) that manufactures and supplies rock excavation and construction equipment, as well as tools for surface and underground applications. The group also provides aftermarket support services for mining equipment.

The target business is an independent provider of aftermarket support services for OEM equipment including the design, manufacture, repair and supply of spare parts, as well as the rebuilding, refurbishment and repair of mining machinery and equipment.

Tribunal clears Spear’s acquisition of Watergate Centre

The Tribunal has unconditionally approved the acquisition of the Watergate Centre by Spear REIT Ltd ("Spear"), paving the way for the listed property company to add another Cape Town asset to its Western Cape portfolio.

The transaction will see Spear acquire the rental enterprise known as the Watergate Centre from MPW Cape Properties (Pty) Ltd ("MPW Cape Properties"). Following implementation, Spear will exercise sole control of the property.

Spear is a Johannesburg Stock Exchange-listed real estate investment trust that invests in income-generating real estate across the Western Cape.

The Watergate Centre is a community shopping centre comprising retail and office space in Mitchells Plain, in Cape Town.
