Sedgeley Solar Group (Pty) Ltd and Sedgeley Solar Management (Pty) Ltd; Sedgeley Solar Energy Holdings (Pty) Ltd

The Competition Tribunal has approved a merger that will see Sedgeley Solar Group (Pty) Ltd (“SSG”) acquire Sedgeley Solar Management (Pty) Ltd and Sedgeley Solar Energy Holdings (Pty) Ltd, giving SSG sole control of the two Namibian-based renewable energy firms.

SSG is a special purpose vehicle, newly incorporated in Namibia. After the merger, it will be jointly controlled by Evolution III LP Mauritius (part of the EVO Group) and the Dutch Entrepreneurial Development Bank ("FMO").

The EVO Group has extensive interests in renewable energy, including through several Independent Power Producers ("IPPs") that have participated in South Africa’s Renewable Energy Independent Power Producer Procurement Programme ("REIPPPP"). Its portfolio includes wind, hydroelectrical and solar photovoltaic projects, with additional large-scale projects currently under construction.

FMO, controlled by the Dutch State, invests in projects globally, including in renewable energy initiatives in South Africa involving waste-to-energy projects and water reclamation projects that are currently being developed.

Sedgeley Solar Management and Sedgeley Solar Energy are involved with on-site renewable solar PV rooftop installations for shopping centres, farms, cold storage facilities, hotels and manufacturing plants. Trading under the “Solar Saver” brand, the firms manage installation, sales, marketing, cleaning and maintenance of the solar PV rooftop projects.

 

Bidvest Services (Pty) Ltd and Aquatico Capital (Pty) Ltd; Aquatico Investments (Pty) Ltd

The Tribunal has approved the merger in which Bidvest Services (Pty) Ltd, a subsidiary of Bidvest Group Ltd, will acquire and gain control of Aquatico Capital (Pty) Ltd and Aquatico Investments (Pty) Ltd.

The Bidvest Group operates in the areas of consumer and industrial products, electrical products, financial services, freight management, office and print solutions, outsourced hard and soft services, travel and aviation services and automotive retailing. Within its Services South Africa division, the testing inspection and certification (“TIC”) cluster is most relevant to the transaction. The TIC cluster provides conformity assessment and assurance services that ensure the safety, integrity and quality of goods and services across various industries.

Aquatico Capital is an environmental monitoring and testing laboratory business that operates locally and internationally. The largest part of its business, the Analytical Laboratory, provides services to clients in the resources/mining, industrial, agricultural, residential and municipal sectors. It also provides services to environmental consultants and testing laboratories and operates accredited laboratories both locally and abroad.
